Legal terms
These terms govern access to Herdio, the cloud platform for managing herding trials, registrations, dogs, handlers, results, and related competition workflows.
Herdio is provided by Klub pracovních ovčáckých psů České republiky, z.s., with registered office at Předslavice 19, 387 01 Předslavice, Czech Republic, IČO: 26662256, data box ID: 5huzrbf. These Terms apply to the use of the Herdio website, administration interface, hosted workspaces, support, onboarding, and related services.
A contract is formed when the Provider confirms an order, onboarding request, written agreement, or paid subscription for a customer workspace. The customer may be a club, association, event organizer, or other legal or natural person. The person requesting access confirms that they are authorized to act for the customer and to manage user accounts in the workspace.
Herdio is supplied as software as a service. During a paid subscription term, the customer receives a non-exclusive, non-transferable right to use the platform for its own herding, trial, registration, result, dog, handler, and club administration workflows. The customer must keep login credentials secure, assign access only to authorized users, and notify the Provider without undue delay about suspected misuse.
Unless agreed otherwise in writing, the annual price for the Herdio club license is €500 per year. The platform is currently purchased manually by bank transfer. Payments are made to account number 6621287339/0800 or to another account stated on the invoice or payment instruction. Payments inside the app may require manual pairing until automated payment pairing is introduced.
The subscription term is one year unless the parties agree otherwise. Access may be renewed by paying the next subscription period. If the customer does not pay the renewal fee, the Provider may suspend or terminate access after reasonable notice. The Provider may keep the workspace in a limited state for a reasonable period to allow settlement, export, or renewal.
Standard support is provided on Czech working days from 9:00 to 17:00. The Provider may improve, change, or temporarily limit the service for maintenance, security, legal, or operational reasons. The Provider will use reasonable efforts to avoid unnecessary disruption of active competition workflows.
The customer remains responsible for the accuracy, lawfulness, and completeness of data entered into Herdio, including personal data, dog records, registration data, payments, rankings, and public result information. The customer must have a lawful basis for processing any personal data that it uploads or publishes through the platform.
Personal data processing is described in the GDPR and personal data page. Depending on the specific workflow, the Provider may act as an independent controller for website, billing, and support data, and as a processor or technical provider for customer workspace data. The parties will cooperate to meet obligations under applicable data protection law.
Users must not misuse Herdio, attempt to bypass security controls, interfere with service operation, upload unlawful or harmful content, access data without authorization, or use the platform in a way that violates Czech law, third-party rights, or fair competition rules. The Provider may suspend accounts or workspaces where misuse, security risk, or unlawful activity is reasonably suspected.
Herdio, its design, software, workflows, documentation, and related materials remain owned by the Provider or its licensors. The customer receives only the limited right to use the service during the subscription term. Customer data remains the property or responsibility of the customer or the relevant data subjects.
The Provider supplies the service with reasonable professional care. Unless expressly agreed otherwise, no uninterrupted availability or specific service level is guaranteed. To the maximum extent permitted by Czech law, the Provider is not liable for indirect damage, lost profit, loss caused by incorrect customer data, third-party services, internet outages, or force majeure. The Provider's aggregate liability is limited to the fees paid by the customer for the affected subscription period, except where liability cannot be limited by law.
Either party may terminate the contract for material breach if the breach is not remedied within a reasonable period after notice. The Provider may terminate or suspend the service immediately where continued access would create a security, legal, payment, or operational risk. After termination, the customer should request any needed data export without undue delay.
Herdio is primarily intended for clubs, associations, organizers, and other professional or organizational users. If a customer acts as a consumer under Czech law, mandatory consumer rights remain unaffected. Consumer complaints may also be addressed through the Czech Trade Inspection Authority for out-of-court dispute resolution where applicable.
These Terms and all contractual relationships relating to Herdio are governed by the laws of the Czech Republic, especially Act No. 89/2012 Coll., the Civil Code, and, where applicable, Act No. 634/1992 Coll., on Consumer Protection. Disputes will be resolved primarily by negotiation. If no agreement is reached, disputes will be decided by the competent courts of the Czech Republic.
